Synopsys’s Amazon Deal Is Signed; the 13% Repricing Still Lacks an Earnings Bridge
Synopsys’s Amazon Deal Is Signed; the 13% Repricing Still Lacks an Earnings Bridge
Summary: Synopsys disclosed a genuine, multiyear agreement with Amazon worth more than $1 billion, spanning custom-silicon IP, licensing and royalties, and engineering software. SNPS then closed Oct. 1 at $490.54, up 12.78% for the session. The release does not disclose a revenue ramp, royalty rate, margin contribution or incremental EPS; at the FY26 non-GAAP EPS midpoint the close is already 32.55× earnings. A 90-day reference sensitivity has a flat highest-probability base and a 14.0% adverse case. Reject / no trade.

|---|---|---|---|---|---|---|---|---|---|
| 1 | Synopsys (SNPS) | Long screen | A signed $1B+ multiyear Amazon agreement may expand high-margin IP and royalty economics, but the issuer gave no period-by-period contribution; the share price rose 12.78% on Oct. 1 | Sep. 30 agreement; Aug. 26 FY26 results and guide | FY26 close on Oct. 31; Q4 release date not verified; future licensing and royalty conversion has no disclosed schedule | Oct. 1 volume was 1.4× Sep. 30, but current short interest, options, fund flows and ownership changes were not verified | Reject: reference base -0.2%, bottom stress -14.0%, 0:1 favorable-base/adverse | $490.54 regular close; current spread, depth and exit capacity not verified | The new deal may create substantial future earnings not captured in FY26 guidance, while the published amount cannot be annualized |
| 2 | Foghorn Therapeutics (FHTX) | Long screen | A sharp repricing followed the end of Lilly’s lead-program collaboration; cost cuts extend the issuer’s stated runway, but the remaining highlighted programs are early-stage | Fresh Oct. 1 issuer update; June 30 10-Q | Workforce changes in Q4; next disclosed wholly owned pipeline milestones are not yet a commercial cash catalyst | No current ownership, short, options or flow audit; intraday turnover is not proof of forced selling | Reject / weaker downside protection | Low-priced clinical-stage biotech; liquidity and exit risk materially higher than SNPS | The lead clinical program and separate SMARCA2 collaboration both stopped; runway is not proof of drug value |
| 3 | Constellation Energy (CEG) | Long screen | A new 20-year Amazon PPA supports long-run plant economics, but the 190 MW uprate is not scheduled until 2030–2032 and the release gives no project-level return | Sep. 30 issuer release; Q2 results were published earlier | Re-licensing, construction and 2030–2032 uprate milestones | Current ownership and flow evidence not reviewed | Reject / incomplete project economics | Large-cap common stock; current execution audit not done | The >$3B investment figure covers broader Maryland infrastructure; incremental CEG capex, earnings and financing returns are not disclosed |

Selected opportunity: SNPS for information value, not as the best executable or trade-qualified opportunity.
Why this one now: The Amazon agreement is a signed commercial state change, not an aspirational memorandum. Yet the exact fact most investors need to value it—the timing and profit contribution to Synopsys—was not disclosed. The Oct. 1 move is large enough to warrant a fresh screen, but it does not supply that missing bridge.
What should surprise the reader: “More than $1 billion” describes a multiyear agreement, not $1 billion of annual revenue, earnings or free cash flow. The deal expands an existing 15-year relationship and includes both software collaboration and custom-silicon IP; its public release does not allocate value among those pieces or disclose how royalties depend on production.
Why This Is the Best Opportunity Right Now
SNPS ranks first because the fresh issuer disclosure establishes both a real contract and the boundary of what is not yet known. Its disclosure is more decision-useful than FHTX’s residual clinical optionality, where the Oct. 1 release confirms a lead-program failure, or CEG’s newly announced nuclear PPA, whose largest physical capacity addition is years away. These are distinct setups, not interchangeable versions of the same AI trade.
There is prior Desk coverage of CEG, but its May note concerned the earlier PJM capacity and lock-up mechanism. This screen treats the Sep. 30 Amazon agreement as new evidence: a 20-year Calvert Cliffs PPA for 690 MW, including a 190 MW uprate. That is a materially different commercial contract, but the issuer did not provide enough project economics to outrank SNPS for this run.
Why This Can Move More Than 5% Soon
The event already produced a large observed move: SNPS rose 12.78% from Sep. 30 to Oct. 1, versus SPY’s 0.18% gain. The two-session SNPS increase from Sep. 29 was 18.2%. The deal is a plausible catalyst, but no event study isolates it from other information or establishes that it caused the full return. An Oct. 1 company-specific re-rating can reverse just as quickly if subsequent guidance does not connect the contract to reported results.
For the next quarter, the observable tests are the FY26 close and management’s FY27 outlook, followed by evidence of actual Amazon design activity, license revenue and royalties as products reach volume production. Synopsys’s fiscal year ends Oct. 31; an exact Q4 reporting date was not verified in the sources reviewed. The >5% move is a discovery filter, not proof of a favorable base case.
10/5 Asymmetry Gate
The map uses the $490.54 Oct. 1 regular-session close as a reference, not an executable entry. StockAnalysis reports an Oct. 1 high of $496.95, low of $462.00 and volume of 6.314 million shares; its Sep. 30 close was $434.94. Another price-history provider reports a close within $0.20 of $490.54. I use the consistent StockAnalysis series and preserve that small source discrepancy instead of averaging it. No current bid/ask, depth, venue quality or practical exit-liquidity observation was verified.
At $490.54, the price is 32.55× Synopsys’s $15.07 FY26 non-GAAP EPS midpoint. On that same EPS basis, a +10% price requires approximately 35.81× the midpoint, or about $16.58 EPS if the multiple stays at 32.55×. Neither threshold is established by the undisclosed timing and margin of the new contract. The highest-probability sensitivity is approximately flat; the modeled adverse case is -14.0%; the favorable-base/adverse ratio is 0:1. The setup fails the long hurdle before transaction costs. Missing execution data independently keeps entry null and execution blocked; it is not the reason for the Reject classification.
The Setup
Fact: On Sep. 30, Synopsys announced a strategic multiyear agreement with Amazon. The company calls it a “$1B+” agreement and says Amazon will expand its use of Synopsys silicon IP, EDA, simulation and analysis, and AI-powered engineering tools. The companies also plan to optimize Synopsys software on AWS Trainium and Graviton; Synopsys engineers will use AWS services. The issuer describes the IP arrangement as moving toward a license-plus-royalty model as production volumes grow.
Fact: The Aug. 26 FY26 outlook was $9.69–$9.74 billion revenue, $15.04–$15.10 non-GAAP diluted EPS, approximately $2.8 billion operating cash flow and approximately $2.6 billion free cash flow. Guidance includes an expected $2.98 billion of Ansys revenue. The midpoint non-GAAP EPS is $15.07. Synopsys’s midpoint GAAP EPS guide was $3.96; the difference reflects large acquisition-amortization, stock-compensation and restructuring adjustments, among others. The adjusted metric is issuer-defined and reconciled, but it should not be confused with GAAP earnings or cash per share.
Inference: A growing customer relationship and a contracted IP collaboration can improve revenue visibility and long-run royalty potential. But the public disclosure contains no annual contract value, recognized-revenue timetable, production volume, royalty rate, incremental margin or updated FY26/FY27 EPS estimate. The $1B+ headline therefore cannot be inserted as a near-term earnings bridge. Guidance published Aug. 26 predates the Sep. 30 announcement; it is not evidence that Amazon has already added a known amount to the FY26 outlook.
The Market Price
The Oct. 1 reference is $490.54 at the regular-session close, up $55.60 or 12.78% from $434.94 on Sep. 30. The reported intraday range was $462.00–$496.95 on approximately 6.31 million shares. Sep. 30 volume was approximately 4.49 million, so Oct. 1 turnover was about 1.4× the prior session. This describes trading activity; it does not reveal which holders bought or sold, whether funds were forced to adjust, or how the order book would handle a particular position.
SPY closed at $763.99 on Oct. 1, up 0.18%. The difference from SNPS’s single-day return is about 12.6 percentage points. That relative move is observable, not proof the Amazon agreement alone explains it. At the current run time the U.S. regular session has ended; no later off-session print is used in the model.
The Mispricing
The disagreement is between a concrete, long-duration commercial announcement and the immediacy implied by a large share-price response. The signed contract matters; the public information does not say how much of its nominal value will be recognized in each year or what profit Synopsys will retain after delivery and royalties.
The current FY26 guide midpoint supports a simple sensitivity, not fair value: $490.54 ÷ $15.07 = 32.55× non-GAAP EPS. The guide’s GAAP EPS midpoint is $3.96, illustrating how dependent this shorthand is on substantial non-GAAP adjustments. At 32.55×, a 10% price gain needs roughly $16.58 of non-GAAP EPS; at $15.07, it needs about 35.81×. The Oct. 1 release did not quantify either a near-term EPS increase or a justified multiple expansion.
The strongest bullish reading is that the Amazon relationship deepens Synopsys’s custom-silicon IP and software position just as application-specific chips and complex AI systems require more design work. A license-plus-royalty structure could grow as chips ship, while cloud collaboration could improve Synopsys’s own engineering productivity. The bearish reading is that this thesis is plausible but already capitalized faster than disclosed near-term profit: the contract spans years, and no product-volume or royalty schedule was published. The current evidence does not resolve which side is right.
The Positioning
The Oct. 1 volume expansion and price increase show heightened activity, not who owns SNPS. Current short interest and settlement date, borrow, options open interest, dealer exposure, institutional ownership changes and fund flows were not verified. No claim of crowded longs, short covering or forced buying is made. Positioning is unknown. The 12.78% rise is consistent with a positive market reaction, but price and volume alone cannot distinguish fresh conviction from hedging, index flows or short-term repositioning.
The Catalyst
- Amazon agreement — announced Sep. 30: The contract is signed and described as multiyear and worth more than $1 billion. The cheapest next test is an issuer disclosure that separates license revenue, royalties, schedule, production dependency and margin contribution.
- FY26 Q4 results and FY27 outlook — after the Oct. 31 fiscal year end: The exact reporting date was not verified. Test whether Synopsys holds its $15.04–$15.10 non-GAAP FY26 EPS guide and whether FY27 expectations identify Amazon economics rather than repeating broad AI demand language.
- Royalty conversion — over the agreement term: Track actual design wins, production ramp and recognized royalties in later filings. A license signed is not the same state as volume production, recognized recurring revenue or collected cash.
- Falsification: If the next results show no identifiable contribution, a delayed production ramp, weaker IP growth, or guidance that requires the market to wait materially longer for royalties, rebuild the price map from the new evidence rather than carrying forward the Oct. 1 re-rating.
The Payoff
This is a 90-day, through-Dec. 31 reference-only valuation sensitivity. Targets are FY26 non-GAAP EPS of $15.07 multiplied by explicit 37×/32.5×/28× assumptions. The midpoint and current multiple anchor the base; 37× requires a further premium for demonstrated contract conversion; 28× is a downside stress, not a price floor. These multiples are assumptions, not historical frequencies, analyst consensus, fair value or guaranteed limits.
The subjective 15%/55%/30% weights are deliberately uncalibrated. The base gets the greatest weight because no annual earnings contribution or higher guide has been published. The top case requires both a persistent premium multiple and evidence the agreement can compound future cash flows. The bottom case gives a 30% weight to multiple compression after the rapid re-rating despite the absence of near-term unit economics. The weighted result is negative before costs. Remaining risks include a larger gap, a change in FY27 estimates, and a price path that falls more than the terminal bottom sensitivity before any recovery.
Price Target and Probability Map
| Scenario | Probability | Target / level | Return from $490.54 | Horizon | Conditions | Evidence quality |
|---|---|---|---|---|---|---|
| Top Case | 15% | $557.59 | +13.7% | Through Dec. 31, 2026 | $15.07 × 37×; FY27 outlook and later contract disclosures support a continuing premium | Low; multiple sensitivity |
| Base Case | 55% | $489.78 | -0.2% | Same | $15.07 × 32.5×; new agreement remains strategically positive but no quantified incremental earnings arrive in the window | Low; multiple sensitivity |
| Bottom Case | 30% | $421.96 | -14.0% | Same | $15.07 × 28×; some of the Oct. 1 premium unwinds before royalty or margin conversion is visible | Low; adverse stress, not a bound |
| Invalidation | n/a | A filed FY27 bridge materially changes earnings, margins or royalty timing | Rebuild, not an automatic trade trigger | Next reported outlook / contract update | Reconcile incremental economics and diluted denominator, then rerun the 10/5 gate | Medium; observable but not yet available |
Probability-weighted expected value: $479.60 weighted reference level, or -2.23% gross before costs. This is a scenario-weighted share-price sensitivity, not enterprise value or a calibrated return forecast.
Current market level and timestamp: $490.54, Oct. 1, 2026, 4:00 p.m. EDT regular-session close; StockAnalysis history. No later quote is used.
Primary instrument: SNPS common stock, USD, research only.
10/5 favorable base move: -0.2%; the +13.7% top case is not the highest-probability case.
10/5 credible adverse move: -14.0% reference stress; not a maximum-loss bound.
10/5 gross base reward / adverse risk: 0:1. The modeled base is slightly negative.
10/5 measurement basis: Reference-only regular close; entry.price is null.
10/5 status: Reject / no trade.
Confidence: Low. The contract is primary evidence, but revenue timing, incremental margins, positioning and execution liquidity are unknown; scenario multiples and weights are uncalibrated.
Sensitivity and Break-Even
| FY26 non-GAAP EPS assumption | 28× | 32.5× | 37× |
|---|---|---|---|
| $15.04 low guide | $421.12 | $488.80 | $556.48 |
| $15.07 midpoint | $421.96 | $489.78 | $557.59 |
| $15.10 high guide | $422.80 | $490.75 | $558.70 |
At the $15.07 midpoint, $539.59 is the +10% reference threshold and requires 35.81×; at 32.55× it requires about $16.58 EPS. These are the two conclusion-driving inputs. A 10% EPS increase or additional multiple expansion could change the screen, but neither is substantiated by the agreement’s public economics today. Spread, slippage, fees and exit costs are not estimated and would reduce returns; their absence cannot turn a negative base into a pass.
The Kill Shot
The strongest counterargument is that the Street need not wait for an exact royalty schedule to value this company. Synopsys already reported $2.477 billion of Q3 revenue versus $1.740 billion a year earlier, raised FY26 guidance, and now has a $1B+ strategic deal with a major custom-chip designer. Royalty value could be nonlinear as production volumes rise; the limited release details may reflect commercial confidentiality, not weak economics. The 12.78% session rise may therefore be rational.
That argument defeats a categorical short thesis; it does not establish a +10% highest-probability long base with credible downside capped at 5%. Load-bearing assumption: the multiyear agreement will convert quickly enough into incremental, durable per-share cash flow to support the new valuation. The issuer has not disclosed the schedule or margin bridge needed to verify it.
What Could Go Wrong
- The deal can be economically attractive while producing little recognized revenue in the next 90 days; production volumes, not announcement size, govern royalties.
- Strong Q4 results or FY27 guidance could exceed the current FY26 anchor and make the flat base too conservative.
- Synopsys can lose the contract’s anticipated value through delayed chip launches, customer design changes, execution costs or weak production volumes.
- The reported Q3 growth and FY26 outlook include the Ansys acquisition; acquired growth, purchase-accounting amortization and non-GAAP adjustments complicate simple EPS comparisons.
- A strong company can still fall if the market compresses its multiple; a terminal 28× sensitivity does not constrain interim drawdown or gap risk.
- The research quote is a completed regular close, not a current bid or offer. Spread, depth, venue/volume quality and realistic exit size are unverified.
- Current derivatives, institutional positioning and borrow data were not reviewed; no crowding or squeeze claim is available.
What Would Prove This Wrong
This Reject should be reopened if a filed or issuer-reported bridge quantifies Amazon-related FY27 revenue, royalty milestones and incremental margins; the FY27 guide supports at least $16.58 EPS on the current-multiple sensitivity or a defensible alternative operating model; and a refreshed valuation still gives a +10% highest-probability base with no more than 5% credible adverse movement and at least 2:1 gross reward to risk. A live regular-session quote, spread, depth, venue quality, volume quality and exit-liquidity audit would still be required before any trade-qualified classification.
Risk Audit
- Strongest counterparty view: The Amazon agreement extends a long partnership into custom silicon and embeds Synopsys IP and engineering software in a large customer’s system roadmap; the contract could prove more valuable than its near-term disclosures suggest.
- Most fragile assumption: That an aggregate multiyear contract headline is enough to infer near-term per-share earnings growth. It is not.
- What may already be known: Synopsys had already raised FY26 guidance in August on EDA strength and AI demand. The fresh news is customer-specific commercial depth, not first evidence of AI demand.
- Directionally right but still losing: Even if Amazon later produces meaningful royalties, a rich reference multiple can contract before that cash arrives. Conversely, the contract may drive further upside that the current model omits.
- Residual risk: Product cycles, competition, customer concentration, export controls, integration and amortization from Ansys, interest rates, gap moves, halts, liquidity and costs can dominate a 90-day terminal map.
Best Trade Strategy
No trade. Keep entry.price null and execution.can_execute=false. Do not use the Oct. 1 close as a limit, market-order anchor or price floor. Revisit only after the FY27 operating bridge is reported, the agreement’s royalty and production dependencies become observable, and the valuation independently passes 10/5. Common stock is the only expression considered; no options, leverage or margin case is made without live instrument data. Before any later entry, verify a fresh regular-session quote, spread, depth, venue and volume quality, and realistic exit liquidity. Monitor company filings and the next earnings release; withdraw the thesis if the expected economics fail to appear, rather than averaging down.

Research Quality Scorecard
| Criterion | Score | Basis |
|---|---|---|
| Market disagreement | 4/5 | Signed contract and a sharp repricing are clear; its earnings contribution is not. |
| Evidence base | 4/5 | Fresh primary agreement and reconciled FY26 guide; no contract-level margin or revenue schedule. |
| Positioning and flows | 2/5 | Session volume is observed, but holder identities, options, shorts and flows are unknown. |
| Catalyst path | 3/5 | Q4 results are a near-term test; royalty realization is longer-term and unscheduled. |
| Payoff architecture | 2/5 | Price-multiple sensitivity is explicit but reference-only, assumption-sensitive and fails the base hurdle. |
| Invalidation discipline | 4/5 | Specific earnings, royalty and execution evidence gates are stated. |
| Differentiated insight | 4/5 | Separates multiyear contract value from annualized earnings and distinguishes license from royalty realization. |
| Client value | 4/5 | Explains why a real contract can still be insufficient support for chasing the post-event re-rating. |
| Total | 27/40 | Reject / no trade; score does not override the failed 10/5 gate. |
Bottom Line
The Amazon agreement is material evidence that Synopsys is embedded in custom silicon and engineering workflows. It is not yet a public earnings bridge. At $490.54, the Oct. 1 close asks investors to underwrite a 32.55× FY26 non-GAAP guide midpoint after a 12.78% session gain, while the contract’s timing, margins and royalty schedule remain undisclosed. The most likely reference case in this screen is roughly flat and the downside stress is larger than 5%. Reject; no long signal is actionable.
