Why this one now: The Sep. 28 release adds the exact post-close financing and ownership facts missing from the earlier pre-acquisition thesis: cash used, note collateral, cash-flow sweep percentages, updated guidance and repurchases through Sep. 28. The old May article centered on a pending FDA decision and the company’s earlier repurchase average; that catalyst has resolved, and the new question is whether the equity receives enough unencumbered cash flow to justify its price. [2][3][4] What should surprise the reader: “Non-recourse” and “non-dilutive” do not mean “unencumbered.” The $350M OMERS note is limited to YUPELRI-related cash flows, but 75% of that U.S. profit-share is assigned to principal and interest until repayment. The Setup
The acquisition and the cash claim
Zymeworks completed the acquisition of Theravance Biopharma on Sep. 23. Under the final transaction update, the deal used a $350M non-recourse OMERS note and approximately $217.5M of Zymeworks’ existing cash after using cash acquired with Theravance. The company expects a potential $100M TRELEGY-related milestone in Q1 2027 to reduce its net investment, but receipt is conditional, not cash already collected. [2][3]
YUPELRI’s U.S. profit-share and ex-U.S. royalties are the acquisition’s main recurring-cash-flow rationale. The Sep. 28 release says YUPELRI’s first-half 2026 sales were $133.1M and produced $38.4M of Theravance collaboration revenue; Q2 hospital sales grew 25% year over year. These are historical product figures, not Zymeworks post-close cash receipts. Under the OMERS terms, 75% of YUPELRI profit-share cash flow is applied to the note until principal and interest are repaid; Zymeworks retains 25% in the interim and 100% after repayment. Separately, the $250M Royalty Pharma financing is serviced by 30% of Ziihera worldwide royalties. Zymeworks retains 70% of those royalties during repayment, with the transferred interest reverting after the obligation is fully repaid. The issuer said the notes are non-recourse; this limits creditor recovery to the pledged assets rather than the general corporate balance sheet, but it also means the equity cannot count all gross YUPELRI and Ziihera receipts as free cash flow. Guidance, operating cash and denominator
After closing and FDA approval of Ziihera for first-line GEA, Zymeworks guided to 2026 revenue of $278M-$292M and adjusted EBITDA of $114M-$128M. It also expects $25M-$30M of acquisition/restructuring-related costs, excluding capitalized financing costs. The adjusted-EBITDA figure is issuer-defined and is not GAAP operating cash flow. The most recent filed balance sheet predates the close: at June 30, cash, cash equivalents and marketable securities were $322.5M; first-half operating cash use was $77.7M; and first-half financing cash included $244.7M net proceeds from the Royalty Pharma note and $128.1M of repurchases. The later release says $217.5M of existing cash was used at the acquisition close. Subtracting the close use from June liquid assets would still not establish current cash: subsequent operating activity, acquired cash, transaction adjustments, working capital and any further repurchases must be reconciled in the next filing. As of Sep. 14, the issuer reported approximately 71.2M common shares outstanding. By Sep. 28 it had bought 1,971,454 shares under the 2026 authorization for about $49.3M at a $25.04 average. Multiplying the Sep. 14 share count by the Sep. 28 close gives an approximate $1.93B equity capitalization, not a current issuer-reported market cap. At that stale denominator, equity value alone is roughly 15.1x-16.9x 2026 adjusted EBITDA guidance; adding $600M of gross note principal would produce a rough 19.8x-22.2x ratio before cash and before respecting the asset-level non-recourse structures. Bullish interpretation: Zymeworks now has a commercial COPD product alongside Ziihera royalties and its development portfolio. YUPELRI hospital growth, higher 2026 guidance and buybacks actually executed (rather than just authorized) are evidence that the transaction could diversify funding and reduce the share count. Because both notes are non-recourse, creditors do not have a general claim on all corporate assets; after the pledged streams repay them, the product cash flows revert or expand for common shareholders. Countercase: The company has spent $217.5M of existing cash to acquire a business whose largest U.S. profit-share is mostly assigned to a noteholder until debt service is complete. A separate note already diverts 30% of Ziihera royalties. The Sep. 14 share count is stale relative to the Sep. 28 buyback tally, the acquisition accounting is preliminary, and full-year guidance is a non-GAAP metric. Investors therefore cannot yet distinguish recurring unencumbered cash generation from gross product sales, loan proceeds, repurchases and milestone timing. [2][4]

The cheapest falsification is the next Form 10-Q: reconcile purchase-accounting cash, current basic and diluted shares, both note balances and effective interest, product cash flows before and after the contractual sweeps, and remaining buyback capacity. A press-release headline about revenue or “non-dilutive” financing is not enough.
