Why this one now: The Sep. 25 filing adds audited target-company financials and an acquisition pro forma to the Rawrr transaction that Kandi completed in February. That moves the question from “does this add a growth brand?” to “what operating profit and cash did the consideration actually buy?” Kandi’s H1 release is scheduled before today’s open, so new data are imminent but unavailable at this article’s 4:45 a.m. EDT research timestamp.

What should surprise the reader: The shares were issued using a $1.35 reference-price formula set in 2025, while acquisition-date accounting value was $1.07 per share in February 2026; the latest verified regular close was $0.588. Neither figure is a floor. At the same time, Kandi reports more than $200M of cash, restricted cash and CDs, making any short that ignores the liquidity bridge reckless.

Why KNDI Ranks First for Information Value

Kandi’s new filing furnishes Rawrr’s audited 2025 statements and a management-prepared, unaudited pro forma combined balance sheet and income statement. Rawrr recorded $15.656M revenue and $4.310M gross profit, but $4.394M operating expense produced an $83,891 operating loss. Its $366,460 net income followed $574,649 of other income and $95,600 interest expense. Operating cash flow was $178,822 while inventory rose by $2.439M to $4.369M and accounts payable rose by $1.772M. The target had only $677,435 cash against $6.329M total liabilities and a $915,101 stockholders’ deficit at year-end.

Kandi’s 2025 annual filing says it agreed to acquire all Rawrr shares for negotiated consideration of $23.9M in Kandi ordinary shares. It issued 17.7M shares on Feb. 6, 2026 using a $1.35 formula based on the ten trading-day average before Sep. 24, 2025. The pro forma exhibit separately measures those shares at $18.939M using the Feb. 6 market close of $1.07 and records $10.926M goodwill after identifiable net assets and $9M of customer-relationship/IP intangibles. These are different transaction and accounting measures; they are not evidence that either $1.35 or $1.07 is fair value today.

On the illustrative pro forma, 2025 combined revenue is $103.096M, versus Kandi standalone $87.440M, but combined operating loss remains $57.259M and net loss $95.203M. The exhibit expressly says it is illustrative and may not represent actual or future results. The short-side inference is therefore narrow: the acquisition adds a recognizable product/revenue stream but does not, in the pro forma, repair group profitability. It is not proof that Rawrr will remain unprofitable after integration or that KNDI must fall.

Why This Can Move More Than 5% Soon

Kandi announced on Sep. 22 that it would report H1 2026 results before the U.S. open Sep. 28 and hold its call at 8:00 a.m. EDT. The filing at hand, accepted Sep. 25 at 4:05 p.m. EDT, came after the regular session. StockAnalysis/S&P Global records Friday’s regular close at $0.588 and an after-hours mark of $0.6198 at 7:57 p.m. EDT, a 5.4% rise from the regular close. Yahoo’s later-retrieved snapshot showed $0.614 at 7:44 p.m. EDT, a 4.4% rise. These are distinct vendor observations and neither is a consolidated executable quote. The new filing and pre-event earnings expectation overlap, so the price response cannot be causally assigned to one item.

The latest regular-session daily volume was about 175K shares on StockAnalysis, versus about 188K on ChartExchange. That is enough turnover to show the stock trades, not enough to infer short crowding or dependable exit capacity. The upcoming report can move the shares sharply in either direction; a low-priced, thin security can gap beyond reference levels.

Because the Rawrr filing was accepted after Friday’s regular close, the latest extended-hours observation is the reference for the filing response: $0.6198 at Sep. 25, 7:57 p.m. EDT / 23:57 UTC, StockAnalysis/S&P Global. The completed regular close was $0.588 at 4:00 p.m. EDT / 20:00 UTC. Yahoo separately showed $0.614 at 7:44 p.m. EDT. Both after-hours observations are context only, not entries; no post-event regular-session acceptance or NBBO was verified.

For a one-week sensitivity through Oct. 2, use observed levels: $0.4776, KNDI’s Sep. 21 intraday low; $0.588, the Sep. 25 regular close; and $0.70, an Aug. 5 close. From the $0.6198 after-hours reference these imply a 22.9% top-case decline, 5.1% base-case decline, and 12.9% adverse rise. Only the top sensitivity clears 10%; the highest-probability base does not. Base reward/adverse risk is about 0.40:1. The short fails before borrow, spread, slippage, fees or recall cost. Reject before execution.

What Should Surprise the Reader

Kandi’s $211.9M year-end total of cash, restricted cash and certificates of deposit is much larger than the roughly $59M equity-value scale implied by Friday’s $0.588 quote times the 100.415M shares reported outstanding as of Apr. 10. This is a scale comparison only: the denominator is stale, the assets are not all equivalent to distributable cash, and this arithmetic is not net asset value. The 20-F identifies $35.531M cash, $93.495M restricted cash and $82.918M CDs, alongside $30.8M short-term bank loans and $16.5M notes payable. Restricted cash primarily secures letters of credit and bank acceptance bills; the annual report says the CDs can be transferred without penalty or principal loss. It also warns that the BVI parent depends on PRC subsidiaries for dividends and that PRC law/debt can restrict distributions and fund transfers.

Reported 2025 operating cash flow of $96.807M is also a poor shortcut for recurring earnings power. Management says it was supported mainly by a $115.161M decrease in other receivables/assets and a $54.280M increase in accounts payable; reducing notes payable used $79.804M. Investing cash use was $77.469M, mostly a $75.139M increase in CDs. So the cash-flow statement shows both cash generation and a large working-capital/investment reshuffle. It does not establish that the cash-like balances are trapped, nor that they are available for immediate distributions or share repurchases.

The Setup

Kandi is a BVI holding company with primary manufacturing operations in China and U.S. subsidiary SC Autosports. It reports EV products at small scale while emphasizing off-road vehicles. Its 2025 Form 20-F reported $87.440M revenue, $95.570M net loss and 42.6% gross margin; net loss included $43.136M net other loss associated largely with SC litigation and U.S. antidumping duties, as well as $9.717M goodwill impairment and $6.061M long-lived-asset impairment. Those charges may not recur at the same level, but they show the group’s results are not explained by Rawrr alone.

The annual report lists 100.415M ordinary shares outstanding as of Apr. 10, after the 17.7M Rawrr issuance. At Friday’s $0.588 close that dated denominator implies about $59.0M equity value as a rough scale. Year-end Kandi total liabilities were $129.6M, including $30.8M short-term bank loans and $16.5M notes payable. The later H1 results may update both share count and financial condition, so this is not a current fully reconciled market capitalization or net-cash computation. The 17.7M shares are roughly 21.4% of the prior 82.705M year-end outstanding count; that is denominator arithmetic, not a measure of freely traded supply or current dilution percentage.

The 20-F also describes the acquisition under its related-party transactions section. It identifies Rawrr chair Kenny Hu as the son of Kandi director and 14.426M-share beneficial owner Xiaoming Hu. The filing states the audit committee and board assessed and approved the acquisition and that an independent third party valued Rawrr at $23.9M. This family relationship is governance context; it is not evidence by itself of misconduct or unfair pricing.

The latter are not the same timestamp or source, so they are not averaged.

Using 100.415M shares outstanding from Apr. 10 solely as scale, the regular close implies about $59.0M equity value. Compare this with $211.9M of year-end cash/restricted cash/CDs only as a gross balance-sheet comparison; subtracting debt alone would not produce a valid equity valuation because working-capital liabilities, subsidiary location, restrictions, operating needs and post-period events are not synchronized to the quote. The Mispricing

Fresh fact: Kandi’s Sep. 25 Form 6-K provides previously unavailable audited Rawrr 2025 statements and an unaudited illustrative combined pro forma. The acquired company’s revenue scale is real, but its operating income and cash conversion are modest relative to the share consideration, inventory, liabilities and valuation intangibles. Counterweight: Kandi’s group holds large cash-like balances and has a very low share price; a liquidity discount or market mispricing may support a rally rather than a short.

What the price implies: at the current reference, investors value common equity around $59M using a dated denominator, while reported year-end cash-like resources are $211.9M. The price may incorporate poor asset accessibility, litigation, weak consolidated profitability and uncertain capital allocation. It cannot be interpreted as a clean cash-NAV discount because $93.5M is restricted, $82.9M is in CDs, the company operates through PRC subsidiaries, and the H1 balance sheet is pending.

Consensus: I do not have a sufficiently reliable consensus estimate or independently verified investor-positioning dataset to quantify what the market expects for the H1 release. Do not infer consensus from a small pre-event rally.

The Positioning

Short interest, utilization, borrow fee, recall/buy-in terms, institutional holder changes and current locate availability are not verified. Friday regular volume was 175K–188K depending on provider; turnover is not short interest. The latest extended-hours response of +4.4% to +5.4% from the regular close shows price sensitivity and a feed discrepancy, not who bought or sold. The Catalyst
