Why this one now: CHRS is a new Desk thesis with the freshest financing change among the candidates, a liquid U.S. listing, and a large measured short position. The $50 million ATM is not treated as issued supply. The disagreement is narrower and more useful: the market can price cash and a future oncology pipeline while ignoring that new financing capacity, new secured debt, contingent-value-right terms, continuing product revenue, and the post-sale cash bridge all remain separate states.
What should surprise the reader: The $105.3 million cash and securities figure is not a common-equity floor. The same 10-Q shows $119.976 million of six-month operating cash use, and the Aug. 17 loan filing adds a post-quarter senior claim. The new ATM may never be fully used, but its first sale and cash receipt are the test.
Why This Is the Best Opportunity Right Now
The Aug. 28 prospectus supplement gives Coherus the right to sell up to $50 million of common stock through Leerink Partners under an existing $150 million shelf. The sales agreement is an ATM program, so the agent is not required to sell any specific amount. The company may use net proceeds for working capital, research and development, commercial activities, and capital expenditures. That optionality sits on a balance sheet that needs careful separation. At June 30, Coherus reported $82.923 million of cash and cash equivalents and $22.383 million of marketable securities, for $105.306 million in cash and securities. Six-month net cash used in operating activities was $119.976 million. The 10-Q says that operating cash outflow included $42.2 million of payments related to transition-service-agreement assets and liabilities in discontinued operations, so the headline burn is not a pure recurring run rate. The same filing reports $130.345 million of total liabilities, including a $37.247 million term loan and a $14.770 million revenue purchase and sale agreement liability. On Aug. 17, Coherus disclosed a separate $55 million senior secured term loan with a maturity in August 2031, prepayment fees, a final fee, and operating and financial covenants. The market has a real reason to fund this transition. LOQTORZI generated $13.6 million of net revenue in the second quarter, and Coherus has a pipeline of oncology programs. The company also declared a special dividend of contingent value rights with a Sept. 30, 2026 record date. CVRs are contractual rights with specific payment terms, not cash in the account today. Why This Can Move More Than 5% Soon

The base decline clears 10%, but the adverse squeeze is far above 5% and the gross ratio fails. A 5% stop would not protect against an ATM-related gap, clinical news, recall, or halt. The price-only map is a research control, not an order instruction.
What Should Surprise the Reader
The fresh ATM is neither current dilution nor a clean cash repair. At the $1.41 reference, a full $50 million sale would be roughly 35.5 million shares before fees, but that is stress arithmetic only. The prospectus says the agent is not required to sell a specific amount. Until a purchase notice, settled shares, and cash receipt are filed, the only confirmed fact is financing capacity.
The cash balance is also less simple than the headline. Coherus has a commercial product and $105.3 million of cash and securities, but the 10-Q reports $119.976 million of six-month operating cash use and $130.345 million of total liabilities. Some cash outflow came from discontinued-operation TSA payments, which is a qualification, not a reversal. The post-quarter $55 million secured loan adds another claim and another potential source of runway.
The CVR record date is not a payment date. Its value depends on the legal terms and future sales triggers. A record-date announcement can change ownership behavior without creating present common cash.
The Setup
Coherus sold the UDENYCA franchise and has repositioned toward oncology. The remaining operating case includes LOQTORZI revenue and a pipeline of clinical programs, while the legacy transaction still creates transition-service cash flows and contingent-value-right obligations. A clean pipeline story can attract strategic capital; a cash story without collections can mislead.
The Aug. 28 ATM reopens a financing route at a time when the June cash bridge was already large relative to the six-month operating outflow. The Aug. 17 term loan means future cash must be viewed after interest, principal, covenant restrictions, and any revenue-purchase obligations. The correct short question is not whether Coherus can raise money. It is whether the market is assigning enough value to the oncology transition before the next share, cash, debt, CVR, and product-revenue states are filed.
The load-bearing short assumption is that financing and senior claims absorb more of the transition value than the current quote reflects before LOQTORZI and clinical revenue scale. That assumption is plausible but not proven. The company has cash, product revenue, and pipeline optionality, which is why the adverse case is wide.

The latest finance-feed market capitalization also implies a share basis that is close to, but not proof of, the dated common denominator.
