Selected opportunity: BiomX Inc. (PHGE), NYSE American common stock.
Why this one now: PHGE has a fresh, dated corporate action and a current cash and denominator mismatch. The reverse split is scheduled, not yet market-accepted. The June filing records a cash balance that covers only a small fraction of the recent operating cash use, then records a further 8.903 million ATM shares sold after quarter-end. The setup is stronger than MIMI's already-realized offer-price decline and less dependent on a favorable asset-value interpretation than SRXH.
What should surprise the reader: A 1-for-10 reverse split can move a $0.1384 quote above $1 on the screen while leaving the company with the same economic cash, burn, accumulated deficit, and financing dependence. The quote changes units. The cash clock does not.
Why This Is the Best Opportunity Right Now
On Aug. 28, BiomX disclosed that its board fixed a 1-for-10 reverse split after stockholders approved a split range at a special meeting on Aug. 25. The company expects the Certificate of Amendment to become effective at 12:01 a.m. Eastern Time on Sept. 9, with split-adjusted trading expected to begin that morning on the NYSE American. The June 30 10-Q shows the financing dependence behind the action. Cash, cash equivalents, and restricted cash were approximately $347,000 at June 30. Six-month net cash used in operating activities was $6.584 million, and management said current funds, ATM receipts, and expected acquired-business revenue would fund operations for only the next several months from the filing date. The post-quarter share path is unusually important. The 10-Q records 12.590641 million common shares issued and outstanding at June 30. It also says that in July and August 2026 BiomX sold 8.902611 million additional common shares under its ATM at an average price of $0.2836, raising approximately $2.5 million gross and $2.4 million net. The Aug. 28 split filing's approximately 26.7 million pre-split figure and the June-plus-ATM arithmetic do not by themselves establish the current denominator. The next share-count filing is the adjudicating evidence.
The market may be right that the reverse split creates useful listing access and that the acquired DFSL and ZorroNet businesses can produce revenue and cash. The consolidated 10-Q reports $28.186 million of assets and $17.623 million of total stockholders' equity, including $6.758 million of non-controlling interests. It also says BiomX transitioned from a failed legacy phage-therapy program toward defense, security, and critical-infrastructure technology. This is a genuine counterparty case. The short thesis is narrower: a split-adjusted quote can be mistaken for economic repair before collected revenue, current cash, and the post-ATM denominator are visible.
Why This Can Move More Than 5% Soon
The split is expected on Sept. 9, but the economic move will be decided by what happens after the quote translation:
- If the pre-split reference of $0.1384 simply translates, the split-adjusted quote would be about $1.384. A subsequent fall to a split-adjusted $0.80 is the same economic move as a pre-split fall to $0.08.
- A current ATM balance, future sales, or a newly filed denominator can alter the post-split market value even if the screen price looks healthier.
- Collected revenue from DFSL and ZorroNet can invalidate the cash-clock thesis, while an announcement about expected revenue without collection evidence cannot.
- The borrow fee and 4.47% dated short interest can create a squeeze if the split, acquisition, or financing is read as a survival signal.
- A corporate-action adjustment, halt, broker conversion error, or venue problem can make an otherwise correct short impossible to exit.
The event can therefore move more than 5% in either direction. The observed 3.48% rise on Aug. 28 is not evidence that the split has been accepted.

The holding window is Aug. 31 through Sept. 12, 2026, covering the split and the first three split-adjusted sessions. Every target below is stated on a pre-split-equivalent basis, with the post-split quote in parentheses. A 1-for-10 split does not change the return percentage when both price and share count are translated consistently.

The base decline clears 10%, but the adverse rise is far above 5% and the gross ratio is below 2:1. The split can also create a discontinuity that bypasses a nominal stop. The hurdle fails before current cash, denominator, venue, and short-side execution are verified.
What Should Surprise the Reader
The reverse split is the most visible event in the story and the least informative about cash. It can satisfy a quoted-price screen without adding one dollar of operating liquidity. It also does not erase the 8.903 million ATM shares sold after the June quarter, the acquired-business integration costs, or the accumulated deficit.
The more useful surprise is the denominator mismatch. June's common count was 12.590641 million, the July-August ATM added 8.902611 million, and the Aug. 28 filing describes approximately 26.7 million shares before the split. Those are different dated states. Treating any one of them as today's fully diluted common denominator would convert a reconciliation problem into false precision.
The Setup
BiomX is no longer a pure clinical-stage phage-therapy company. Its 10-Q says the former BiomX Ltd. operating subsidiary entered insolvency proceedings in Israel, a trustee was appointed, and the parent transitioned toward defense, security, and critical-infrastructure technology. BiomX acquired a 60% controlling interest in DFSL and acquired ZorroNet in April 2026. These acquired businesses are the operating countercase to a simple cash-burn short.
The balance sheet nevertheless remains thin in cash terms. The 10-Q records $347,000 of cash, a $6.584 million six-month operating cash use, and only several months of expected funding from current funds, ATM receipts, and anticipated acquired-business cash flows. The ATM is a funding mechanism that already created shares. It is not evidence that the business has reached self-funding.
The load-bearing short assumption is that post-split price acceptance weakens before collected revenue, operating cash, and a current denominator can support the new strategy. That assumption is not proven. The next cash, revenue, share-count, and post-split price records are the cheapest way to test it.

The finance feed and regular-session history agree on the close but differ slightly on the range and volume. I use $0.1384 as a reference only. The June share count, the later ATM issuance, and the approximately 26.7 million pre-split figure in the split filing do not share one current denominator, so no current enterprise value or per-share asset value is computed.
The Mispricing
The possible mispricing is a unit illusion:
- A $0.1384 pre-split quote can become approximately $1.384 without a cash inflow.
- A higher quoted price can make Nasdaq access look improved while the company still depends on an ATM and anticipated acquired-business cash.
- The 8.903 million July-August ATM shares are actual issuance, but the post-ATM denominator is not yet filed in the reviewed sources.
- The current provider market-cap field cannot be used as a post-ATM equity value because its share basis is not reconciled.
- The acquired-business asset and equity figures include non-controlling interests and do not prove common cash recovery.
No enterprise value or current per-share fair value is computed. The latest cash is June-dated, the share count is split across several filing states, the ATM proceeds and later denominator are not fully reconciled, and the post-split market structure is not observable yet.
The Positioning
ShortInterestTracker reports 480,000 shares short, representing 4.47% of outstanding shares in the latest cited FINRA snapshot as of July 31, 2026. The same secondary source shows an indicative borrow fee of 34.96% and 1.4 million shares available. This is not a broker-level locate. It does not establish persistence through the Sept. 9 corporate action, recall terms, buy-in terms, or the actual fee charged to an account. The market lacks verified utilization, options positioning, dealer exposure, fund flows, and live order-book depth. Positioning is 3/5, capped by missing direct execution and flow evidence.

The cheapest falsification sequence is the broker-adjusted split and first regular-session tape, the current post-ATM share count and cash receipt, then collected DFSL and ZorroNet revenue and operating cash. Do not infer success from the new quote alone.

The payoff map is deliberately pre-split-equivalent because an executable entry and a current post-ATM denominator are unavailable.

The Kill Shot
The strongest counterparty argument is that the short treats BiomX as a shell when the company now owns operating technology businesses. The 10-Q reports $28.186 million of consolidated assets and $17.623 million of total stockholders' equity, including $6.758 million of non-controlling interests. DFSL and ZorroNet could produce enough revenue and cash to make the June cash balance stale. The ATM raised about $2.4 million net after June 30, and the reverse split may improve the company's access to investors and listing venues. On this view, the market is paying for a turnaround option that cannot be evaluated from the legacy phage-therapy losses alone.
That counterargument is real. The short can lose even if the current cash is inadequate because a fresh funding source or acquired-business contract arrives before the next 10-Q. The most fragile assumption is not that the reverse split fails mechanically. It is that the split-adjusted quote will be rejected before collected operating cash and a clean denominator support it. If the next filing shows durable subsidiary cash, the short thesis is wrong.
What Could Go Wrong
- The split executes cleanly, the broker adjustment is orderly, and the new quote attracts momentum buyers.
- DFSL or ZorroNet produces collected revenue, gross margin, and operating cash sooner than the June filing implies.
- The ATM supplies enough cash to fund the company through the catalyst window and the market values survival.
- A strategic investor, partner, grant, or non-dilutive transaction eliminates near-term financing pressure.
- The current share count is lower or more favorable than the June-plus-ATM arithmetic suggests.
- A reverse split, CUSIP change, halt, settlement adjustment, or broker processing problem makes a short position costly or impossible to exit.
- Borrow is recalled, repriced above the indicative fee, or unavailable after the corporate action.
- A clinical, defense, security, or government contract headline changes the valuation faster than the cash data can be reconciled.
- A short loses more than the intended percentage because the quote gaps from $0.1384 to a split-adjusted level above the planned exit.
What Would Prove This Wrong
The thesis is invalidated by a post-split filing and tape that together show: current shares and ATM settlement are reconciled; cash received is visible; DFSL and ZorroNet generate collected revenue and positive or improving operating cash; the parent can fund operations without an immediate denominator reset; and the split-adjusted quote holds with acceptable liquidity. A reverse split by itself is not enough.
Execution is independently cancelled if the broker cannot provide a current locate, borrow, recall, buy-in, and corporate-action audit, or if the fresh regular-session quote, spread, depth, venue, volume quality, and exit liquidity are not acceptable. The price map remains reference-only even if the fundamental thesis survives.
