Why this one now: CHGA has the sharpest combination of current cash stress, a fresh multi-proposal financing vote, and a registered claim ledger that contains both issued shares and future ELOC capacity. The Oct. 8 vote is close enough to be monitored but not close enough to pretend the 50 million shares are already tradable. The correct thesis is a cash and claim-state disagreement, not a claim that every number on the S-1/A is current float.
What should surprise the reader: The S-1/A has two separate data-quality problems that matter to the short thesis. Its headline and itemized components sum to 52,235,925 shares, while a cover passage says 52,035,925. Its amended ELOC terms state a fixed $0.20 purchase price, while a pro forma example still uses $0.30. Those inconsistencies do not prove fraud or selling. They do mean the claim ledger must be reconciled before any dilution arithmetic is treated as executable evidence.

The list includes the ELOC issuance, 925,925 ELOC warrant shares, future below-Minimum-Price issuances, two Vanquish note conversions, 360,000 forbearance shares, a charter increase from 100 million to 125 million authorized common shares, consultant shares, a 1 million-share pre-funded warrant, and 300,000 MFN shares. The related Aug. 25 S-1/A describes an ELOC with Hudson Global Ventures for up to $10 million of Put Shares at a fixed $0.20 purchase price, or up to 50 million shares. The company has the right, but not the obligation, to deliver Put Notices. Hudson has no right to require a sale. The cash problem is already filed. The June 30 10-Q reports $39,221 cash, $499,714 current assets, and $4,593,051 current liabilities, producing a $4,093,337 working-capital deficit. Continuing operations used $3,556,055 of operating cash in the first half. The direct short setup is therefore better than a generic dilution headline. The stock has already fallen sharply, but the next repricing can be tied to a vote, registration, actual issuance, note conversion, or cash-flow filing. The strongest counterparty remains real: an approved ELOC or new financing could keep the company listed long enough for its AI products to generate revenue. That is precisely why the signal remains a Watchlist rather than an order.
Why This Can Move More Than 5% Soon
Nasdaq's Aug. 27 record shows CHGA at $0.1354, down 22.94%, with an intraday range of $0.1262 to $0.1490 and 1,655,668 shares traded. A fourteen-proposal financing vote, a new registration state, or a first Put Notice can reprice a $2.7 million provider market capitalization quickly. The current price is below the amended ELOC's fixed $0.20 purchase price, so the ELOC is not a simple current-market supply line. That makes the first actual draw and its economics more important than the 50 million-share ceiling.
The S-1/A also registers 925,925 warrant shares at a nominal $0.01 exercise price and several issued blocks from forbearance and consulting arrangements. The pro forma example also assumes the 50 million Put Shares are sold at $0.30 even though the amended ELOC description states a fixed $0.20 purchase price. The article does not choose the convenient number. It flags both mismatches and uses the itemized ledger only as a stress map.
The state ladder is:

Change Agents changed its name from Avalon GloboCare and began trading under CHGA in July 2026. Its current business is described as two segments: an AI software segment built around the Catch-Up and Beacon products, and a consumer-health segment distributing the Keto Air breathalyzer. At June 30, CHGA had $14.721 million of total assets, but much of the non-current asset base was goodwill and intangible assets. Total liabilities were $4.649 million, and total equity was $10.071 million, a figure that includes preferred stock and non-cash accounting balances. The 10-Q shows no operating revenue from the current AI and consumer-health businesses sufficient to offset the cash burn. Continuing operations incurred $4.773 million of other operating expenses in the first half, including professional fees, compensation, advertising, and amortization. The company also reported a $6.555 million operating loss from continuing operations. The going-concern conclusion is not a prediction of failure, but it establishes the funding problem that the proxy is trying to solve.
The preferred and debt claims matter. Series E Preferred Stock carried a stated liquidation preference of approximately $19.396 million as of June 30 and was convertible into common stock at a stated $1.50 conversion price, subject to its terms. Series F Preferred Stock issued in July has a $400,000 stated value, a $0.50 conversion price after approval, and mandatory redemptions of 25% on each of Oct. 1, Nov. 1, Dec. 1, 2026, and Jan. 1, 2027 at 125% of stated value. The Nasdaq CHGA quote snapshot supplies the last sale, session change, volume, bid, ask, and displayed sizes. The Mispricing
The weak bearish argument is that 52.236 million registered shares will be sold. That claim is too strong. The ledger includes issued resale blocks, a future ELOC, a warrant that requires approval, and an internal headline inconsistency. Registration is not effectiveness, and effectiveness is not resale.
The stronger disagreement is about the difference between a financing option and usable cash. CHGA has only $39,221 of filed cash at June 30 and a $4.093 million working-capital deficit. The ELOC can provide up to $10 million in gross proceeds only if the company elects to deliver Put Notices, the registration and other conditions remain satisfied, Hudson purchases, and the transaction complies with Nasdaq limits. At the amended fixed price of $0.20, the current $0.1354 market price does not make a straightforward draw economically self-evident.

The latest public short-interest record is stale relative to the Aug. 27 quote. Current locate availability, borrow fee, recall risk, securities-lending concentration, full order-book depth, and exit liquidity are unknown. The price and volume support an inference of fragile market structure, not proof of forced selling or a reliable supply event.
The squeeze case is asymmetric for a simple reason: a successful vote, funded ELOC, strategic AI acquisition, or note settlement that removes immediate default risk can cause buyers to compete for a narrow displayed market. The bear case should not rely on the registered ledger alone.

The cheapest falsification sequence is the Oct. 8 vote, then S-1 effectiveness and the first ELOC purchase, then the actual cash allocation and post-draw share count, followed by the next operating-cash and preferred-redemption filing. Do not jump from registration to a full-float conclusion.

The Kill Shot
The strongest counterparty argument is that CHGA may have solved the immediate cash problem through financing access rather than operating revenue.
