Why this one now: NXL has the clearest sequence from fresh financing terms to a dated resale-registration obligation and a possible listing event. Its headline $15 million equity line is not current cash or current float. It is conditional financing capacity that can become a large future claim only after additional gates clear. The company nevertheless has a filed cash runway problem before those gates are resolved.

What should surprise the reader: A $15 million equity commitment can be economically important without being immediately sellable. The first adjudicating event is not a theoretical share count. Why This Is the Best Opportunity Right Now

NXL has the freshest and most testable sequence. Its Aug. 20 Form 8-K records an agreement dated Aug. 19 for a registered direct offering of 2,419,355 shares at $0.31, plus 1,209,677 common warrants with a $0.50 exercise price and one-year term. The filing says the offering was expected to close on or about Aug. 20, subject to customary conditions. The same filing describes an AMPA with a single investor for up to $15 million of shares through Dec. 31, 2027. The company may choose purchases of up to $1 million per notice, or up to $5 million by mutual agreement, only after the resale registration statement becomes effective and other conditions are satisfied. The purchase price is either 92% of the lowest three-day VWAP or 97% of the prior business day's lowest traded price. A future discount is a supply mechanism, not a guaranteed price floor. The June 30 10-Q supplies the cash constraint. NXL reported $1.005 million of cash, $27,111 of six-month revenue, $4.336 million of six-month net loss, and $3.515 million of net cash used in operating activities. Management stated that it did not have sufficient cash to fund anticipated operating requirements for at least twelve months and that substantial doubt existed about continuing as a going concern. The direct offering would provide approximately $750,000 gross if it closes. That is less than one quarter of the first-half operating cash burn before offering expenses. The AMPA could be useful capital in a favorable path, but the filing expressly blocks purchases until the resale registration statement is effective. That is the central price-positioning-catalyst disagreement.

Why This Can Move More Than 5% Soon

The latest Nasdaq record shows NXL at $0.3306, with an Aug. 20 range of $0.3250 to $0.3499 and 124,874 shares traded. The current price is only 6.6% above the proposed $0.31 offering price and sits close to the day's low. A closing confirmation, a warrant-resale filing, an AMPA purchase notice, a Nasdaq decision, or a reverse-split announcement can move a sub-dollar common stock discontinuously.

The proposed direct offering equals about 11.0% of the 22,036,402 common shares outstanding as of Aug. 10. The immediate warrants equal another 5.5% of that dated denominator, subject to exercise and registration conditions. The Setup

Nexalin develops neurostimulation products for anxiety, insomnia, depression, and related mental-health indications. Its June 30 filing says new U.S. sales and marketing of the original Gen-1 devices have not resumed after the FDA's December 2019 reclassification. The company recorded no international revenue in the three or six months ended June 30, 2026. The balance sheet is small relative to the capital plan. At June 30, current assets were $1.862 million against current liabilities of $1.485 million, leaving roughly $0.377 million of working capital. The company had an accumulated deficit of approximately $97.203 million. The six-month operating loss was about $4.367 million, while first-half revenue fell to $27,111 from $111,603 in the prior-year period.

The filing also says that NXL received a Nasdaq minimum-bid deficiency notice, requested a hearing, and was evaluating alternatives to regain compliance. Its board had approved a 30-for-1 reverse split as of the filing date, but it had not yet taken effect. The reverse split is a listing tool. It is not evidence that the financing terms or clinical economics have improved.

The Mispricing

The weak bearish argument is that the $15 million AMPA equals roughly 50 million shares at a $0.30 reference price. That is not the right state treatment. The AMPA is a conditional commitment, and its purchases require an effective resale registration statement, purchase notices, ownership limits, exchange-cap compliance, and a still-trading principal market.

The stronger argument is that the market can treat financing access as if it were durable cash runway. The filed facts point in the opposite direction:

  • Cash state: $1.005 million at June 30.
  • Operating state: $3.515 million of first-half operating cash use and $27,111 of first-half revenue.
  • Financing state: approximately $750,000 gross proposed direct offering, plus a future AMPA that is not yet drawable.
  • Claim state: 2.419 million proposed shares and 1.210 million warrants are not the same as current common shares, but they establish a new supply path if closing and registration conditions clear.

The market may be right. The offering could close, the cash could fund the insomnia study, the AMPA could remain unused, and a reverse split could restore Nasdaq compliance. The cheapest disconfirming sequence is: verify the direct-offering closing, verify whether the resale registration is filed and effective, inspect the first AMPA notice and settled share count, then reconcile cash and operating progress in the next filing. Do not jump from the agreement to the full $15 million issuance case.

The short case does not require Nexalin's technology to fail. It requires the company to remain dependent on equity access while the market prices a reverse split and clinical optionality before the financing state is fully observable.

The Kill Shot

The strongest counterparty argument is that the market is not pricing the AMPA as current float. The company has a medical-device platform, an FDA pathway, and a clinical catalyst that can matter more than six months of legacy revenue.
