BIRK wins because it has the clearest new state transition. The market now has to price a selling shareholder's exit, a public supply event, a matching issuer redemption, a smaller stated common denominator, and a debt-funded balance-sheet claim at the same time. WWW has stronger recent cash repair but has already moved. AIT has solid evidence but no comparable price reset and a higher expectation load.

Why This Can Move More Than 5% Soon
The immediate window is the expected August 17 delivery of the BIRK offering, followed by confirmation of the actual public shares, the redeemed shares, and the post-event common count. The 424B7 is unusually useful because it puts a price, a quantity, a settlement expectation, and a denominator calculation in one document. It does not make the $39.35 offering price support, and it does not make the issuer's redemption free.
A greater-than-5% move is plausible in either direction because the event has two opposing mechanical readings:
- A reader can see a 25.523 million share headline and assume the public float or issuer dilution expands by the full amount. That would overstate the new public supply and ignore the cancellation of the matching block.
- A reader can see the cancellation and treat it as a clean buyback. What I infer
The market can reasonably punish BIRK for three things at once: secondary supply, lower margin, and higher leverage. But the 424B7 makes the supply and denominator claims more specific than a simple secondary headline.
The long inference is that the offer price may be compressing two different events into one discount. The selling shareholder is monetizing a large block, which can create technical pressure. At the same time, the issuer is cancelling a matching block, reducing the stated common denominator if settlement occurs. The business is still growing at 15% constant currency and the FY26 adjusted EBITDA guide is higher. If the public supply clears without a guide cut, the market may have overcharged the common for a secondary transfer.
The bear inference is just as strong. The cancellation consumes cash that is partly backed by new senior notes. Higher leverage, interest expense, tariff pressure, foreign exchange, and a lower Q3 gross margin can make the denominator reduction economically neutral or worse. The mispricing hypothesis is that a price anchored to the secondary offer can understate the value of the smaller post-settlement denominator if the operating guide holds.
