If the Lee sale closes and the business generates the guided cash, the stock can earn a higher multiple on a smaller denominator.
The bear version is also straightforward. The $400M is conditional, the earnout is uncertain, cash is low, debt is real, and H1 operating cash flow is far below the full-year expectation.
