FTCI ranks first, not because its financing is already selling into the tape, but because its latest primary documents join three facts that the price can misread as one story: improving revenue, an equity funding valve, and a breached cash covenant. The cheapest adjudication is close. It is the first registration or draw evidence, followed by the next cash and share-count filing.

Why This Is the Best Opportunity Right Now

The strongest counterargument is substantial. FTC Solar's Q2 revenue was $26.2 million, up 30.8% from the prior year and 51.5% from the prior quarter. Management expects Q3 revenue of $30 million to $35 million, roughly 24% sequential growth at the midpoint, and continues to forecast 40% full-year revenue growth. It also disclosed an awarded 400 MW project, initial India wins, and an equity line that can supply liquidity without requiring Lincoln Park to short or hedge the stock. The company could use the facility to remove financing pressure, collect receivables, improve margins, or attract strategic capital. No draw was observed in the filings reviewed.

That counterargument keeps the idea at Short Note quality. FTCI still wins this U.S.-only screen because the August 5 8-K and 10-Q create a dated, falsifiable funding sequence. The company failed two credit-agreement tests for June 30, requested a one-time waiver, and undertook to pay seller notes in cash. The equity line is conditional on a registration statement being declared effective and a final prospectus being filed. The market is therefore not pricing a completed dilution event. A move from $3.12 to the base target of $2.55 would be an 18.3% gross short return before borrow, fees, slippage, taxes, and gap risk. A move to $1.85 would be a 40.7% gross return. The market needs only a 5% move to show that the registration, draw, or operating evidence is being repriced, but the direction is not established by the current quote.

Setup and Operating Bridge

The short thesis is not that FTC Solar has no business. The filings show a real operating improvement alongside a still-uncomfortable cash and margin bridge.

The apparent operating-cash improvement needs a quality check. H1 operating cash included a $15.335 million inflow from accrued expenses and a $7.111 million inflow from accounts receivable. Cash, cash equivalents, and restricted cash still declined by $10.030 million, while the company repaid $6.260 million of borrowings and received $1.472 million from common-stock sales. That is not proof of an imminent failure. It is evidence that the cash reset is not yet self-financing.

FTC Solar disclosed failure to satisfy the minimum unrestricted-cash and Direct Tracker Margin requirements for the June 30 quarter, plus failure to notify lenders of those events. The lenders granted a one-time waiver and consented to the company paying $1,145,670.93 under the Alpha Steel seller notes, provided the debt is paid in cash and related liens are released. The waiver requires evidence of that payoff within five business days after its Effective Date. This is a dated cash requirement, not a prediction that the lenders will immediately seize collateral.
