The fresh mechanical fact is a 30 June common-stock purchase agreement with Roth Principal Investments. Peraso may sell up to $25 million of common stock, subject to the Nasdaq exchange cap unless shareholder approval or an at-market exception applies. This is not proof that 31.75 million shares have been issued or sold. It is evidence that the market is valuing a company with a large, variable-price funding channel against a very small equity base. The short thesis is therefore about financing capacity versus operating value, not about assuming every registered share is already in the float.

The broader Asia, Japan, and Europe/UK lanes were not used because this run was explicitly restricted to U.S. short opportunities. No CVR-led setup was selected.

The Mispricing

Fact: The new facility permits up to $25 million of gross purchases. At an assumed $0.80 purchase price, the prospectus says 31.25 million shares would be needed to fund the full commitment. Inference: At the current $0.6264 reference, the full registered share count would be roughly 2.1 times the 15.04 million shares outstanding disclosed in the prospectus. That is a stress-case denominator, not an immediate-float estimate. The more important point is that the facility can be economically large relative to the equity value even if only a fraction is drawn.

The market may instead be pricing Peraso's 60 GHz mmWave and defense-related optionality. The company reported that a supplier delay pushed a significant customer order into the following quarter and described irregular fixed-wireless-access order patterns. Q1 results release That is the strongest counterargument: a shipped order, a defense customer, or a better Q2 revenue print could overwhelm mechanical dilution in a $7 million stock.

Price and Positioning

The current quote is a market-data reference, not a fully reconciled post-financing valuation. The quoted market cap and the 10-Q share count are from different dates, and I did not verify a post-30 June issued-share count, actual facility draws, cash proceeds, or Roth resale transactions.

The fastest bearish mechanism is not a press release. It is a filing showing shares issued, proceeds received, and a lower price that requires more shares for the same cash. The fastest bullish invalidator is a materially better revenue and cash profile without new equity issuance.

What Would Prove This Wrong

The thesis fails if Peraso converts its technology pipeline into repeatable revenue, funds operations without issuing substantial stock, and exits the going-concern pattern. A single customer shipment is not enough by itself. The load-bearing evidence is a sequence of better revenue, cash, and share-count disclosures.

Risk Audit

The strongest counterparty argument is that this is a small public option on mmWave and defense demand. The facility may provide the cash needed to reach a commercial inflection, and a stock that trades below one dollar can move several times the apparent fundamental value on a single contract. This argument is credible and explains the 25% squeeze case.

The bear case is also not “31.75 million shares are already selling.” That statement would be false. The bear case is that a company with a going-concern warning now has a large, variable-price issuance channel, and lower prices make the denominator required for the same cash larger. The next filing is the cheapest disconfirming test.

Bottom Line

PRSO is a fresh conditional U.S. short candidate because the equity facility is large relative to the current equity value and the latest 10-Q contains an explicit going-concern warning. The setup is not yet an executable short: actual issuance, cash proceeds, resale, borrow, and short-interest data remain unverified. The correct expression is “wait for failed continuation and a locate,” not “short the registered shares.”
