Why this one now: The supply event is completed, not merely authorized. The company has already exchanged equity for an obligation that normally consumes cash, and the resale registration is fresh. That is a stronger mechanical chain than a reverse split alone. The thesis still stops short of claiming that all registered shares will be sold.
What should surprise a sophisticated reader: The most important fact is not the 19.3 million share number by itself. It is that the company converted scheduled cash interest into equity while carrying multiple convertible and secured-note layers. Cash preservation reduces immediate liquidity pressure, but it transfers pressure to the common denominator.

SunPower's 10% senior secured notes due 2029 are convertible at an initial price of approximately $1.64 per share.
